1. Agreement to Terms

By engaging Databoss Processing for any data services — whether through our website, email, phone, or any other means — you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Services

Databoss Processing provides custom data processing services including, but not limited to, data extraction, data cleaning and transformation, data analysis, custom reporting, and dashboard delivery. The specific scope, deliverables, timeline, and price for each engagement are agreed upon in writing (email confirmation, project proposal, or signed agreement) before work begins.

3. Quotes and Pricing

All quotes provided by Databoss Processing are estimates based on the information provided at the time of inquiry. Final pricing is confirmed after we review a sample of your data and scope the project. We will not begin billable work until you have reviewed and approved the final quote in writing.

Prices are quoted in U.S. dollars. We reserve the right to adjust pricing if the scope of work materially changes after the project begins. Any scope changes will be discussed and approved by you before additional charges are incurred.

4. Payment Terms

Payment terms are specified in your project agreement. In general:

• Projects under $500: Payment in full before work begins.
• Projects $500 and above: 50% deposit required before work begins; remainder due upon delivery.
• Recurring monthly engagements: Invoiced at the start of each billing period, due within 15 days.

Late payments are subject to a 1.5% monthly late fee. We reserve the right to pause or terminate services for accounts more than 30 days past due.

5. Your Data

You retain full ownership of all data you provide to us. We use your data solely to perform the services you have engaged us for. We do not sell, share, or disclose your data to any third party except as required by law or with your explicit written consent.

You represent and warrant that you have the legal right to share the data you provide to us and that our processing of that data does not violate any applicable law or third-party rights.

6. Deliverables and Intellectual Property

Upon receipt of full payment, you own all processed deliverables we produce for you. Databoss Processing retains ownership of any proprietary tools, scripts, templates, or methodologies used to produce those deliverables, unless otherwise agreed in writing.

7. Confidentiality

We treat all client data and project details as confidential. We will not disclose details of your engagement — including the nature of your data, your business operations, or your deliverables — to any third party without your written consent, except as required by applicable law.

8. Revisions and Satisfaction Guarantee

If the deliverable we provide does not match the agreed-upon scope, we will revise it at no additional charge. Revision requests must be submitted within 7 days of delivery. Revisions are limited to corrections within the original scope — new requirements or scope expansions are treated as separate work.

9. Limitation of Liability

Databoss Processing’s total liability for any claim arising out of or related to our services is limited to the amount you paid us for the specific project giving rise to the claim. We are not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits or business interruption, even if we have been advised of the possibility of such damages.

We are not responsible for errors, omissions, or inaccuracies in data you provide to us. Processed output is only as accurate as the source data allows.

10. Termination

Either party may terminate an engagement at any time with written notice. If you terminate a project after work has begun, you are responsible for payment for work completed up to the date of termination. Deposits are non-refundable once work has begun.

11. Governing Law

These Terms of Service are governed by the laws of the State of Alabama, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Montgomery County, Alabama, and you consent to personal jurisdiction in those courts.

12. Changes to These Terms

We may update these Terms of Service from time to time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of our services after any changes constitutes acceptance of the new terms.
